AGENTS RESPONSIBILITIES

1.1) This Agreement confers upon the Agent a limited, non-transferable right to use the Services as per the terms and conditions contained herein.

1.2) The Agent shall utilize the Services to make legitimate reservations or purchases for its customers and shall not use the Services for any other purpose, including without limitation, to make any speculative, false or fraudulent reservation. The Agent undertakes to use the Services only for the said purposes and shall indemnify "Tripsnstay" against any and all losses that "Tripsnstay" may suffer as a result of the Agent's improper usage of the Services.

1.3) The Agent shall key in exact and correct information of all clients, i.e., number of adults, number of children, room type, and date of tours etc. for every booking.

1.4) The Agent shall make reservations, using the prevailing Services provided by "Tripsnstay" on the Website. "Tripsnstay" shall not be responsible in any manner for any loss or inconvenience caused, if the Agent fails to provide all or any requisite information or provides any inaccurate information about their customers. The Website may contain links to other websites ("Linked Sites"). The Linked Sites are not under the control of "Tripsnstay" and "Tripsnstay" shall not be responsible for the contents of any Linked Site, including without limitation, any link contained in a Linked Site, or any changes or updates to a Linked Site. "Tripsnstay" shall not be responsible for any form of transmission, whatsoever, received from any Linked Site. "Tripsnstay" shall be providing these links to the Agent only as a convenience, and the inclusion of any link does not imply endorsement by "Tripsnstay" of the site or any association with its operators or owners, including the legal heirs or assigns thereof.

1.5) The Agent shall be responsible for dispatch/delivery of the vouchers, passenger name record (PNR) etc. (wherever applicable) directly to its customers and all other relevant documents as required under the applicable statutory and governmental regulations.

1.6) The Agent shall at all times be in compliance with applicable law while utilizing the Services. In the event the Agent is making reservations through the website, then the terms of its use shall become applicable to the Agent in addition to the terms contained in the Agreement.

1.7) The Agent is obliged to comply with the amendment/cancellation policies and procedures of each booking.

1.8) The Agent shall issue service Voucher for all Services to be provided by "Tripsnstay".

1.9) The Agent shall promote and use reasonable endeavors to increase sales of "Tripsnstay’s" products to existing clients and potential Customers.

CANCELLATION POLICY

2.1) Booking cancelled or amended after cancellation deadline and before the service date will be automatically charged to the Agent as per booking terms.

2.2) No-show/early check-out charges will be applicable as per Hotel policy.

2.3) Refunds will not be given for unused or cancelled services after the tour arrangements have commenced.

REPRESENTATIONS & WARRANTIES:

3.1) The Agent represents and warrants that they:

  • (i) have full power and authority to enter into this Agreement;
  • (ii) Operate their business in compliance with all applicable laws and have made all requisite statutory filings with concerned authorities as may be required under applicable law.

3.2) "Tripsnstay" does not provide or make any representation, warranty or guarantee, express or implied about the Website or the Services. "Tripsnstay" disclaims any liability, responsibility or any other claim, whatsoever, in respect of any loss, whether direct or consequential, to any person, arising out of or from the use of the Website or the Services.

UPGRADATION

"Tripsnstay" may, at any time and without having to serve any prior notice to the Agent, (i) upgrade, update, change, modify, or improve the Services or a part of the Services in a manner it may deem fit, (ii) change any promotion scheme, promotion period. "Tripsnstay" may also alter or remove any content from its Website without notice and without liability.

INDEMNITY / LIABILITY

5.1) The Agent agrees and undertakes to protect, defend, indemnify and hold harmless "Tripsnstay", its employees, officers, directors, agents or representatives ("Indemnified Persons") from and against any and all liabilities, damages, fines, penalties and costs (including reasonable legal fees and disbursements in connection therewith and interest chargeable thereon) arising from or relating to:

  • (i) any breach of any statute, regulation, from any governmental body;
  • (ii) any breach of the terms and conditions in this Agreement by the Agent or its employees, officers, directors, agents, or representatives;
  • (iii) any claim of any infringement of any intellectual property right or any other right of any third party;
  • (iv) and any claim made by any third party/user arising out of the use of the Services and/or arising in connection with services offered by the Agent under this Agreement.

5.2) "Tripsnstay" acts only as an intermediary in making arrangements for hotels, transportation or any other services. As such "Tripsnstay" shall not be liable for personal injury, illness, property damage or other loss of expense of any nature whatsoever arising directly or indirectly out of any actions of hotels, transportation company or other company or person providing or rendering series reserved through "Tripsnstay".

5.3) Certain parts of the tours on offer are provided by independent third parties, such as airlines, hotels, transport operators and other local suppliers. "Tripsnstay" is therefore not responsible for any loss, injury or damage caused thereby to the tourists, including those occurring outside of the normal touring programmes. Additional expenses incurred due to delay, accident, natural disaster, political actions and unrest shall be borne by the tourists.
